These Terms and Conditions constitute a binding legal agreement between you and Gopexly governing your access to and use of the Gopexly platform, including the website at gopexly.com and the mobile application (com.gopexly.app). By registering an account or using any part of the platform, you confirm that you have read, understood, and agree to be bound by these terms in full. If you do not agree, you must not use Gopexly.
Gopexly is a social investing platform that enables users to track Nigerian Exchange Group (NGX) stock portfolios, share investment insights, access live market data, interact with other investors, complete investing education courses, and use AI-assisted market analysis tools.
Gopexly is not a stockbroker, investment adviser, fund manager, or licensed investment service of any kind. Gopexly is not registered with the Securities and Exchange Commission (SEC) of Nigeria as a Capital Market Operator. Nothing on this platform — including any content, data, analysis, post, comment, or AI-generated output — constitutes financial advice, an investment recommendation, or a solicitation to buy or sell any security, derivative, or financial instrument.
All investment decisions are made solely by you. You bear full and exclusive responsibility for any financial outcome resulting from any decision you make, whether or not that decision was informed by content viewed on Gopexly.
You must be at least 18 years of age to use Gopexly. By creating an account, you represent and warrant that you are at least 18 years old and that you have the legal capacity to enter into a binding agreement. Gopexly reserves the right to require verification of age and identity at any time and to suspend or terminate accounts where eligibility cannot be confirmed.
Gopexly is available globally but is designed specifically for Nigerian Exchange Group (NGX) market participants. Certain features may be limited or unavailable depending on your jurisdiction. You are responsible for ensuring that your use of Gopexly complies with the laws of your jurisdiction.
You must provide accurate, truthful, and complete information when registering your account. You may register only one personal account. Registering multiple accounts or using false identity information is prohibited and will result in permanent suspension of all accounts involved.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must immediately notify Gopexly at admin@gopexly.com if you suspect any unauthorised access to your account. Gopexly will not be liable for any loss or damage resulting from your failure to protect your credentials or from unauthorised access that you fail to promptly report.
Gopexly enforces password strength requirements for the security of your account. Passwords must contain a minimum of 8 characters including at least one uppercase letter, one lowercase letter, one number, and one special character. You are encouraged to use a unique password not shared with any other service.
Gopexly offers a free tier that provides access to core platform features including portfolio tracking, the social feed, live NGX market data, market news, and access to the Investor Academy. The free tier is available at no cost with no credit card required.
Gopexly Pro is a paid subscription tier that unlocks advanced features. Subscriptions are billed in Nigerian Naira (NGN) on a monthly or annual basis and are processed through Paystack, a licensed payment processor regulated under applicable Nigerian financial law.
Pro subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. You may cancel at any time by contacting admin@gopexly.com or through the account settings if that feature is available. Cancellation takes effect at the end of the current billing period. Gopexly does not issue refunds for partial subscription periods except where required by applicable Nigerian consumer protection law.
Gopexly reserves the right to change the features included in each tier, the pricing of the Pro subscription, or the availability of any tier at any time, subject to 30 days' notice to existing subscribers.
Gopexly sources NGX stock price data from third-party market data providers. While we make commercially reasonable efforts to display accurate and timely data, we cannot guarantee that all data is current, complete, or free from errors. Market data may be delayed, interrupted, or subject to inaccuracies beyond our control.
You must not rely solely on data displayed on Gopexly for any trading or investment decision. You should independently verify all pricing information through your licensed NGX stockbroker or the official NGX website (ngxgroup.com) before executing any trade. Gopexly expressly disclaims any liability for losses arising from reliance on market data displayed on the platform.
NGX market hours are Monday to Friday, 10:00 AM to 2:30 PM West Africa Time (WAT), excluding public holidays. Prices displayed outside market hours reflect the most recent closing price.
When you post content on Gopexly (including posts, comments, poll responses, or portfolio shares), you grant Gopexly a non-exclusive, royalty-free, worldwide, sublicensable licence to display, reproduce, distribute, and use that content within the Gopexly platform for the sole purpose of delivering the service to other users. This licence does not permit Gopexly to sell your content or use it outside the platform without your consent.
You are solely and exclusively responsible for all content you post. You represent and warrant that your content does not:
— Constitute financial advice, an unregistered investment solicitation, or a scheme to manipulate the market price of any security.
— Contain false or misleading statements of fact about any company, security, or market participant.
— Violate any insider trading prohibition under the Investments and Securities Act 2007 or any other applicable Nigerian law.
— Disclose material non-public information about any listed company.
— Constitute defamation, harassment, threats, hate speech, or discrimination against any individual or group.
— Infringe the intellectual property, privacy, or other rights of any third party.
— Constitute a paid promotion, sponsored content, or advertisement for a financial product without explicit prior written approval from Gopexly.
— Violate any applicable law or regulation of Nigeria or any other jurisdiction.
Gopexly reserves the right, but not the obligation, to review, moderate, remove, or restrict access to any content that violates these terms or that Gopexly in its sole discretion considers harmful, misleading, illegal, or inappropriate. Content removal does not require prior notice, however where feasible we will notify the account holder of the reason for removal.
Users found to be engaging in market manipulation through the platform will be permanently banned and, where evidence warrants, reported to the Securities and Exchange Commission (SEC) of Nigeria or other competent authorities.
The Gopexly portfolio tracker allows you to manually log your stock holdings. Portfolio naira values are private by default and are never displayed to other users. Only percentage allocation and percentage performance are visible when you choose to share portfolio information publicly. You may make your portfolio fully private at any time through your account settings.
Gopexly does not connect to, integrate with, or retrieve data from any brokerage account. All portfolio data is entered manually by you and is not verified against any external source. Gopexly does not guarantee the accuracy of portfolio calculations and accepts no liability for errors in portfolio values or performance figures. The Verified Portfolio badge is awarded when a user links a supported SEC-licensed stockbroker account and does not constitute any form of financial certification or endorsement.
Gopexly AI is an artificial intelligence assistant powered by large language model technology. It provides educational information, contextual analysis, and general market commentary in response to user queries about NGX stocks, sectors, and investing concepts.
Gopexly AI does not provide financial advice. Its outputs are for educational and informational purposes only and do not constitute a recommendation to buy, sell, or hold any security. Gopexly AI may produce responses that are incomplete, inaccurate, outdated, or based on incorrect assumptions. You must not make any investment decision based solely on Gopexly AI output.
Gopexly AI is subject to daily usage limits which may vary by subscription tier. Gopexly reserves the right to modify, suspend, or discontinue the AI feature at any time without liability.
You must not use Gopexly AI to generate content that violates these Terms, including but not limited to content designed to manipulate securities markets, content that impersonates regulated financial advisers, or content that constitutes unlicensed investment advice directed at specific individuals.
Investment clubs created on Gopexly are informal discussion groups for educational and social purposes only. They do not constitute registered investment vehicles, collective investment schemes, fund partnerships, or any other regulated financial arrangement under Nigerian law or under the Investments and Securities Act 2007. Club creators and members must not use Gopexly investment clubs to solicit, pool, manage, or invest real funds on behalf of other members. Gopexly bears no liability for any financial activity conducted outside the platform between users who met on Gopexly.
By granting push notification permission on your device, you consent to receiving notifications from Gopexly including market alerts, portfolio updates, social feed notifications, and platform announcements. You may revoke notification permission at any time through your device settings or through the Gopexly notification settings in the app. Revoking permission does not affect your access to any platform feature.
Gopexly may send you transactional emails including account security alerts, password reset emails, subscription receipts, and material policy updates. These communications are necessary for the operation of your account and cannot be fully opted out of while your account remains active. You may opt out of marketing communications at any time by contacting admin@gopexly.com.
Gopexly may operate a referral programme that rewards users for inviting new registered users to the platform. Referral rewards are subject to verification and may be withheld or reversed if fraud, abuse, multiple account creation, or gaming of the system is detected. Gopexly reserves the right to modify, suspend, or terminate the referral programme at any time without prior notice and without liability to participants.
You must not engage in any of the following on or through the Gopexly platform:
— Using the platform to distribute spam, unsolicited communications, chain messages, or bulk promotional content.
— Scraping, crawling, extracting, or otherwise systematically accessing platform data using automated tools without prior written permission from Gopexly.
— Attempting to reverse engineer, decompile, hack, disassemble, or compromise the security of the platform or its underlying infrastructure.
— Impersonating any person, company, entity, or registered financial adviser.
— Using the platform in a manner that violates any applicable Nigerian law, SEC regulation, or stock exchange rule.
— Selling, transferring, or sublicensing your account to any third party.
— Creating accounts using false or another person's identity information.
— Attempting to access another user's account without authorisation.
— Interfering with or disrupting the integrity or performance of the platform or its servers.
— Using the platform to facilitate money laundering, market manipulation, insider trading, or any other financial crime.
— Posting content that promotes, glorifies, or encourages investment schemes, Ponzi schemes, pyramid schemes, or other fraudulent financial arrangements.
All content, design, branding, trademarks, source code, algorithms, data compilations, and technology comprising the Gopexly platform are the exclusive intellectual property of Gopexly and its licensors and are protected by applicable Nigerian and international intellectual property law.
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the platform for personal, non-commercial purposes in accordance with these Terms. You may not reproduce, modify, distribute, create derivative works from, publicly display, publicly perform, or commercially exploit any Gopexly intellectual property without our prior written consent.
You retain ownership of original content you create on the platform. By posting content, you grant Gopexly only the licence described in section 6.1 above — nothing more.
Gopexly may contain links to third-party websites, services, or resources including NGX data sources, news publications, and broker websites. These links are provided for convenience only. Gopexly does not endorse, control, or accept responsibility for the content, privacy practices, or services of any third-party site. Your use of third-party services is governed by those parties' own terms and policies.
The Gopexly platform, all content on it (including posts by other users, market data, and AI output), and all communications from Gopexly are for informational and educational purposes only. Nothing constitutes regulated financial advice, a personal recommendation, or a solicitation. Always consult a SEC-licensed financial adviser before making investment decisions.
Gopexly is provided on an "as is" and "as available" basis. We do not warrant that the platform will be uninterrupted, error-free, or available at all times. We reserve the right to suspend, modify, or discontinue any feature or the entire platform at any time without notice or liability.
To the maximum extent permitted by Nigerian law, Gopexly, its directors, officers, employees, agents, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to:
— Your use of or inability to use the platform.
— Any financial loss, investment loss, or trading loss resulting from decisions you make.
— Inaccuracy, delay, or interruption of market data displayed on the platform.
— Content posted by other users, including any investment-related content.
— Outputs generated by Gopexly AI.
— Unauthorised access to your account resulting from your failure to protect your credentials.
— Any interruption or cessation of platform services.
In any jurisdiction where such exclusion is not permitted by law, Gopexly's total aggregate liability to you for any claim shall not exceed the amount you paid to Gopexly in the 12 months preceding the event giving rise to the claim, or ₦10,000, whichever is greater.
You agree to defend, indemnify, and hold harmless Gopexly and its directors, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, penalties, fines, and expenses (including reasonable legal fees) arising out of or related to: your use of the platform; content you post or share; your violation of these Terms; your violation of any applicable law or regulation; or any claim by a third party arising from your conduct on the platform.
Gopexly may suspend or permanently terminate your account at any time and without prior notice if you violate these Terms, if your use poses a risk to the security or integrity of the platform, if your use is likely to expose Gopexly to legal liability, or if Gopexly is required to do so by applicable law or a court order.
On termination of your account: your access to the platform is revoked immediately; your personal data will be handled in accordance with our Privacy Policy; and any content you posted that has been interacted with by other users may be retained in anonymised form to maintain the integrity of community discussions.
You may delete your own account at any time through Settings → Delete Account. Voluntary account deletion does not entitle you to a refund of any prepaid subscription fees.
Gopexly may update these Terms and Conditions at any time. We will notify registered users of material changes via in-app notification and email at least 14 days before the change takes effect. The updated terms will be posted at gopexly.com/terms with the effective date clearly marked. Continued use of the platform after the effective date of any change constitutes your acceptance of the revised terms. If you do not agree to the revised terms, you must stop using the platform and may delete your account.
These Terms and Conditions are governed by and shall be construed in accordance with the laws of the Federal Republic of Nigeria, including the Investments and Securities Act 2007, the Nigeria Data Protection Act 2023, the Federal Competition and Consumer Protection Act 2019, and any other applicable Nigerian legislation.
In the event of a dispute arising out of or relating to these Terms or your use of Gopexly, the parties shall first attempt to resolve the dispute through good faith negotiation. If negotiation fails within 30 days, the dispute shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
Nothing in this section prevents you from seeking emergency injunctive relief or from filing a complaint with the Nigeria Data Protection Commission (NDPC), the SEC, the Federal Competition and Consumer Protection Commission (FCCPC), or any other competent Nigerian regulatory authority.
Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.
Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Gopexly with respect to your use of the platform and supersede all prior agreements, representations, or understandings.
No waiver: Gopexly's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Gopexly may assign its rights and obligations under these Terms in connection with a merger, acquisition, or sale of business assets.
